Terms and Conditions of Use

These Terms and Conditions of Use, together with any other document expressly referred to herein, govern access to and use of the website deangelismarketplace.com and of the services provided through it.

The website and the related platform are operated by Deangelis Marketplace S.r.l., with registered office at Via Gesù 10, 20121 Milan, Italy, VAT No. 13854180968.

By accessing, browsing, registering on, or using the Platform, each Visitor and User accepts these Terms and Conditions of Use. If you do not agree with any provision of these Terms and Conditions, you must refrain from accessing or using the Platform.

1. Definitions

For the purposes of these Terms and Conditions:

Deangelis Marketplace means Deangelis Marketplace S.r.l., with registered office at Via Gesù 10, 20121 Milan, Italy, VAT No. 13854180968.

Platform means the website available at deangelismarketplace.com, including all related pages, functionalities, account areas, event pages, submission forms and digital services.

Visitor means any person who accesses or browses the Platform without creating or logging into a User Account.

User means any person who creates a User Account and accesses the services reserved to registered users.

User Account means the personal account created by a User on the Platform.

Event means a curated online event organised through the Platform in relation to one or more timepieces, during which Users may express interest in purchasing a Watch by submitting purchase price proposals.

Watch or Timepiece means a watch published on the Platform in the context of an Event.

Expression of Interest means the action through which a User expresses interest in purchasing a Watch during an Event by submitting a purchase price proposal through the Platform.

Purchase Price Proposal means the amount that a User declares to be willing to pay for a Watch in the context of an Expression of Interest.

Highest Purchase Price Proposal means the highest valid purchase price proposal received for a Watch at the end of the relevant Event.

Reserve Price means the minimum amount that the Seller is willing to accept for the sale of the Watch, where applicable.

Seller or Consignor means the owner of a Watch who submits or entrusts a timepiece to Deangelis Marketplace for possible sale through the Platform.

Purchaser means the User who submitted the highest valid purchase price proposal for a Watch and who completes the purchase in accordance with the procedure communicated by Deangelis Marketplace.

Services means the functionalities, tools and activities made available through the Platform, including account creation, participation in Events, submission of Expressions of Interest, publication of Watches, payment management, shipping selection and Watch submission.

2. Scope of the Platform

Deangelis Marketplace is a curated platform dedicated to luxury and collectible watches.

The Platform allows Users to participate in online Events and to express interest in purchasing selected timepieces by submitting purchase price proposals during the relevant Event.

The purpose of the Platform is to allow a transparent process of collective price determination, through which Users contribute to identifying the market value of each Watch and may subsequently acquire it, subject to the applicable conditions.

Each Watch published on the Platform is selected, inspected and described by Deangelis Marketplace with the aim of giving Users a secure, transparent and informed experience.

The Platform allows Users to:

• browse current, upcoming and past Events;
• create a User Account;
• participate in Events;
• submit Expressions of Interest and related purchase price proposals;
• complete the purchase of a Watch, where the applicable conditions are met;
• select available payment and shipping options;
• submit Watches for possible consignment sale through the “Submit your watch” section.

Deangelis Marketplace reserves the right, at its sole discretion, to determine which Watches are accepted, published, withdrawn, postponed or rejected.

3. Acceptance and Changes to the Terms

By accessing the Platform, the Visitor accepts these Terms and Conditions.

By creating a User Account, submitting an Expression of Interest, purchasing a Watch or submitting a Watch for consignment, the User confirms that they have read, understood and accepted these Terms and Conditions, the Privacy Policy and any additional terms made available during the relevant process.

Deangelis Marketplace may amend these Terms and Conditions at any time. Any amendment shall become effective upon publication on the Platform, unless otherwise stated.

Users are invited to review these Terms and Conditions periodically. Continued use of the Platform after publication of the amended Terms constitutes acceptance of the updated version.

4. Access to the Platform and User Account

Access to the Platform is generally free.

Certain Services, including participation in Events, submission of Expressions of Interest, purchase of Watches and submission of Watches for consignment, may require the creation of a User Account.

To create a User Account, the User must:

• be at least 18 years old or of legal age under the laws of their country of residence;
• have full legal capacity to enter into binding agreements;
• provide true, accurate, complete and up-to-date information;
• keep login credentials confidential;
• accept these Terms and Conditions and the Privacy Policy;
• provide, where requested, a valid and accepted payment card.

The User is responsible for all activities carried out through their User Account.

Deangelis Marketplace may suspend, limit or terminate a User Account where it has reasonable grounds to believe that the User has provided false information, violated these Terms, acted in bad faith, submitted speculative or misleading purchase price proposals, or otherwise engaged in conduct prejudicial to the Platform, other Users or Deangelis Marketplace.

5. Payment Card Requirement

In order to participate in Events and submit Expressions of Interest, Users may be required to add a valid and accepted payment card to their User Account.

The payment card is requested to ensure that Expressions of Interest are submitted only by Users with a genuine and concrete intention to proceed, and to preserve the fairness, reliability and transparency of the collective price determination process.

No amount will be charged to the User’s payment card at the time of registration, unless expressly stated and accepted by the User.

Where a User has submitted the highest valid purchase price proposal at the end of an Event, Deangelis Marketplace may request confirmation of the purchase and may charge a deposit, pre-authorisation or other amount to the payment card, only where this has been clearly indicated during the relevant process or otherwise accepted by the User.

The remaining balance may be payable by credit card, bank transfer or any other payment method made available by Deangelis Marketplace.

6. Events, Expressions of Interest and Purchase Price Proposals

Users may participate in Events by submitting Expressions of Interest through the Platform.

Each Expression of Interest includes a purchase price proposal and must be submitted only where the User has a genuine and concrete intention to proceed with the purchase of the relevant Watch.

Once submitted, an Expression of Interest cannot be withdrawn, unless Deangelis Marketplace expressly allows it at its sole discretion or mandatory applicable law provides otherwise.

Expressions of Interest may be submitted manually or automatically by setting the maximum price that the User is willing to pay for the selected Watch. If the User sets a maximum price, the Platform may automatically increase the User’s proposed purchase price where another User submits a higher proposed purchase price, without exceeding the pre-set limit selected by the User.

If an Expression of Interest is received in the final two minutes of an Event, the duration of the Event may be automatically extended in order to allow all interested Users to respond and preserve the fairness of the process.

Throughout the Event, the highest proposed purchase price may be displayed for each Watch, allowing Users to monitor the status of the Event and evaluate any further action.

At the end of the Event, if the User’s purchase price proposal is the highest received for the relevant Watch and exceeds any reserve price possibly set in respect of the Watch, Deangelis Marketplace will contact the User by email and outline the procedure to confirm and finalise the purchase.

Any purchase shall be concluded only following the end of the relevant Event, in accordance with the procedure communicated by Deangelis Marketplace.

Deangelis Marketplace reserves the right to remove any Expression of Interest deemed misleading, deceptive, speculative, unfounded or submitted in bad faith.

Deangelis Marketplace may also take appropriate action against Users who engage in improper conduct or violate these Terms and Conditions, including suspension or permanent termination of their User Account.

7. Reserve Price

Some Watches may be subject to a reserve price.

The reserve price is the minimum amount that the Seller is willing to accept for the sale of the Watch.

Where a reserve price applies, this will be clearly indicated on the relevant Watch or Event page before Users submit an Expression of Interest.

If, at the end of the Event, the highest purchase price proposal does not exceed the applicable reserve price, Deangelis Marketplace shall not be obliged to proceed with the sale of the Watch.

8. Purchase Process

If the purchase price proposal submitted by a User is the highest received at the end of the Event and exceeds any reserve price possibly set in respect of the Watch, Deangelis Marketplace will contact the User via email.

The User will then be guided through the procedure required to confirm and finalise the purchase.

Payment of the agreed purchase price shall be completed via credit card, bank transfer or any other payment method made available by Deangelis Marketplace.

A full receipt will be issued in respect of any Watch purchased from Deangelis Marketplace.

Failure to complete the payment within the required timeframe may constitute a breach of these Terms and Conditions. In such case, Deangelis Marketplace may, without prejudice to any further rights or remedies:

• cancel the purchase procedure;
• retain or charge any applicable deposit, where lawfully permitted and previously accepted by the User;
• contact another User who expressed interest in the same Watch;
• suspend or terminate the User Account;
• claim damages, costs and losses suffered as a result of the User’s default.

Ownership of the Watch shall transfer to the Purchaser only upon full payment of the agreed purchase price and any applicable costs, unless otherwise provided by mandatory law.

9. Purchase Price, Taxes and Duties

The purchase price is the final amount payable by the Purchaser for the Watch, as determined at the end of the relevant Event or otherwise agreed through the Platform.

Unless otherwise stated, prices may include VAT where applicable under Italian or European law.

For deliveries outside the European Union, VAT, import taxes, customs duties, administrative charges, brokerage fees and other governmental levies may apply depending on the destination country.

All taxes, duties, customs charges, import costs and fees relating to the purchase, importation or delivery of a Watch shall be borne exclusively by the Purchaser, unless otherwise expressly stated.

The Purchaser is solely responsible for verifying any applicable tax or customs obligations in the country of destination before purchasing a Watch.

Deangelis Marketplace assumes no responsibility for the calculation, applicability, collection or payment of taxes, duties or charges imposed by foreign authorities.

10. Shipping and Delivery

Before completing payment, the Purchaser may be required to select the preferred shipping method among the options made available by Deangelis Marketplace.

Available shipping methods may include, depending on destination and value of the Watch:

• insured courier;
• armoured courier;
• other dedicated shipping solutions agreed with Deangelis Marketplace.

Shipping costs may vary depending on the destination country, delivery area, value of the Watch and selected shipping method.

The Purchaser may be allowed to change or confirm the shipping address before completing checkout.

Unless expressly authorised by Deangelis Marketplace, Watches cannot be collected in boutique or at physical premises.

Deangelis Marketplace may, at its discretion, modify, cancel or manually adjust shipping costs in the back office where necessary, including in case of special arrangements, errors, exceptions or agreed custom solutions.

Delivery times are indicative only. Deangelis Marketplace shall not be liable for delays caused by couriers, customs, force majeure events, incorrect addresses, incomplete documentation or circumstances beyond its reasonable control.

11. Authenticity and Condition of Watches

Deangelis Marketplace carefully inspects each Watch before publication and guarantees the authenticity of the Watches published on the Platform.

Each listing may include professional photographs, technical specifications, descriptive information, condition notes, rating, expert comments, chronocomparator images or other relevant details.

The information provided in each listing is prepared with care and in good faith. However, due to the nature of vintage, pre-owned and collectible watches, minor variations, signs of age, wear, servicing history, replacement parts or condition differences may exist.

Users acknowledge that collectible watches may have complex histories and that condition assessments involve a degree of expert judgement.

The Purchaser is invited to carefully review all photographs, descriptions, specifications, condition notes and information available before submitting an Expression of Interest.

12. Functioning, Maintenance and Water Resistance

Unless expressly stated in the listing or in a separate written document, Deangelis Marketplace does not guarantee the perfect functioning, timekeeping precision or water resistance of any Watch.

Any chronocomparator image or performance graph included in a listing is provided for indicative purposes only and represents a measurement taken under specific conditions.

Running accuracy may vary depending on several factors, including the age, condition, movement, position, servicing history and use of the Watch.

Where requested, Deangelis Marketplace may assist the Purchaser in obtaining a maintenance, repair or servicing estimate from a trusted watchmaker.

Any maintenance, repair or servicing work shall be subject to a separate estimate and approval by the Purchaser.

Where Deangelis Marketplace expressly provides a warranty following an authorised servicing intervention, such warranty shall apply only within the limits and duration specifically communicated to the Purchaser.

Any intervention, modification or repair carried out by third parties not authorised by Deangelis Marketplace may void any applicable warranty.

Deangelis Marketplace does not guarantee water resistance unless expressly stated in writing.

13. Shipping Coverage

Unless expressly stated in the relevant Watch page, checkout page, invoice, purchase documentation or separate agreement, no separate shipping coverage is included in the purchase beyond the service expressly selected and confirmed at checkout.

Any optional coverage connected to shipping, if made available, shall be subject to separate conditions, limits, exclusions, territorial scope, duration and approval by the relevant service provider.

Deangelis Marketplace shall not be liable for any loss, theft, damage or event allegedly covered by a shipping service unless such coverage has been expressly confirmed in writing.

14. Submission of Watches by Sellers

Owners of watches may submit a Watch for possible sale through the “Submit your watch” section of the Platform.

Submission of a Watch does not create any obligation for Deangelis Marketplace to accept, publish, promote or sell the Watch.

Deangelis Marketplace evaluates each submission at its sole discretion, taking into account, among other elements:

• brand and model;
• condition;
• originality;
• provenance;
• coherence between reference, serial number and components;
• market relevance;
• current selection strategy;
• existing pipeline of similar Watches;
• legal, commercial and reputational considerations.

If a Watch passes the initial review, the Seller may be asked to deliver the Watch to Deangelis Marketplace for in-person inspection, authentication, photography and listing preparation.

The Seller represents and warrants that they are the lawful owner of the Watch or are duly authorised to sell it, and that the Watch is free from any liens, claims, theft reports, disputes, restrictions or third-party rights.

15. Consignment Fees

Unless otherwise agreed in writing, the consignment fee payable to Deangelis Marketplace is equal to the greater of:

• EUR 500; or
• 10% of the final sale price of the Watch.

Additional tailored commercial arrangements may be considered depending on the specific Watch submitted.

The applicable fee structure shall be communicated to the Seller before publication or sale of the Watch.

Deangelis Marketplace may deduct its fees, costs and any agreed amounts from the sale proceeds before transferring the remaining balance to the Seller.

16. Unsold Watches

If a Watch entrusted to Deangelis Marketplace is not sold within the agreed period, the Seller may request its return, without prejudice to the possibility of agreeing an extension of the sale period or a new Event.

Return costs, shipping costs, customs costs or other expenses related to the return of an unsold Watch shall be governed by the specific agreement between Deangelis Marketplace and the Seller.

17. User Obligations

Visitors and Users agree to use the Platform lawfully, fairly and in good faith.

In particular, Users shall not:

• provide false, incomplete or misleading information;
• create multiple accounts for abusive purposes;
• submit Expressions of Interest without a genuine and concrete intention to proceed;
• submit random, speculative, artificial or unfounded purchase price proposals;
• interfere with the proper functioning of the Platform;
• attempt to bypass security systems or payment procedures;
• use the Platform for fraudulent, illegal or unauthorised purposes;
• infringe the rights of Deangelis Marketplace, other Users or third parties;
• copy, scrape, reproduce or exploit Platform content without authorisation;
• damage the reputation, security or reliability of the Platform.

Any breach of these obligations may result in suspension or termination of the User Account and in any further action available under applicable law.

18. Intellectual Property

All intellectual property rights relating to the Platform, including software, layout, design, trademarks, logos, images, photographs, texts, databases, descriptions, graphics and other content, belong to Deangelis Marketplace or to the respective rights holders.

Visitors and Users are granted a limited, personal, non-exclusive, non-transferable and revocable licence to access and use the Platform solely for the purposes allowed under these Terms and Conditions.

No content from the Platform may be copied, reproduced, modified, distributed, sold, licensed, published, extracted or otherwise exploited without prior written authorisation from Deangelis Marketplace.

19. Platform Availability

Deangelis Marketplace aims to ensure the proper functioning, security and availability of the Platform.

However, the Platform is provided on an “as is” and “as available” basis.

Deangelis Marketplace does not guarantee that the Platform will always be available, uninterrupted, error-free, secure or compatible with every device, browser or operating system.

The Platform may be suspended, limited, updated or modified for maintenance, security, technical, commercial or organisational reasons.

Deangelis Marketplace shall not be liable for temporary unavailability, technical failures, internet connection issues, device problems, third-party service interruptions or force majeure events.

20. Limitation of Liability

To the maximum extent permitted by applicable law, Deangelis Marketplace shall not be liable for:

• indirect, consequential or punitive damages;
• loss of profit, business, opportunity or data;
• delays or failures caused by third parties;
• courier delays, customs delays or import issues;
• incorrect information provided by Users;
• unauthorised access caused by the User’s failure to protect credentials;
• inability to access or use the Platform;
• events beyond its reasonable control.

Nothing in these Terms shall exclude or limit liability where such exclusion or limitation is not permitted under mandatory applicable law.

21. Personal Data

Personal data provided by Visitors and Users will be processed in accordance with applicable data protection laws and with the Privacy Policy published on the Platform.

Users are invited to read the Privacy Policy carefully before creating an account, submitting an Expression of Interest, purchasing a Watch or submitting a Watch for consignment.

22. Communications

Users may contact Deangelis Marketplace through the contact details or forms made available on the Platform.

Communications relating to purchases, payments, shipping, account management, Watch submissions and Events may be sent by email or through the User Account.

The User is responsible for ensuring that their contact details are accurate and up to date.

23. Suspension and Termination

Deangelis Marketplace may suspend or terminate access to the Platform, in whole or in part, where a User:

• breaches these Terms and Conditions;
• provides false or misleading information;
• fails to complete payment;
• submits abusive or bad-faith Expressions of Interest;
• misuses the Platform;
• infringes applicable law or third-party rights;
• engages in conduct that may damage Deangelis Marketplace or other Users.

Termination or suspension shall not affect any rights, remedies, payment obligations, damages or claims accrued before the date of termination.

24. Alternative Dispute Resolution

Where applicable, Users acting as consumers may have access to alternative dispute resolution procedures under applicable law.

Users residing in the European Union may also use the European Online Dispute Resolution platform, where applicable.

25. Governing Law and Jurisdiction

These Terms and Conditions are governed by Italian law.

For any dispute arising out of or in connection with these Terms, the Platform, the Services or any transaction carried out through the Platform, the competent court shall be the Court of Milan, Italy, unless mandatory consumer protection rules provide otherwise.

If the User qualifies as a consumer and resides in a country where mandatory consumer protection provisions apply, such mandatory provisions shall remain unaffected.

26. Final Provisions

The failure of Deangelis Marketplace to enforce any provision of these Terms shall not constitute a waiver of its rights.

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions shall remain valid and effective.

These Terms, together with the Privacy Policy and any additional conditions accepted by the User during the relevant process, constitute the entire agreement between Deangelis Marketplace and the User in relation to the use of the Platform.

27. Electronic Acceptance

The User acknowledges that acceptance of these Terms through electronic means, including by ticking a box, clicking an acceptance button, creating an account, submitting an Expression of Interest or completing a purchase, shall constitute valid acceptance of these Terms and Conditions.

Electronic records, logs, confirmations, emails and platform data may be used as evidence of the User’s actions, declarations and acceptance, to the extent permitted by applicable law.
